Preparing for the Negotiation Report
Preparing for this negotiation report is challenging as well as interesting and enlightening. We began our first group meeting at the end of the sixth week and discussed how to accomplish this project satisfactorily.
First of all, we had to select a real negotiation case. According to the group project assignment details, we avoided selecting those negotiations involving multiple parties. We were merely searching for the two-party negotiations. As we had access to sufficient amount of information about the Lenovo-IBM PC Division acquisition, we decided to build upon it and chose to analyze and discuss this case as our project.
However, there were other reasons for choosing this particular case:
(1) The case we studied had better be well-known to most people, so that the viewers of our report could easily understand the content of our negotiation and search for more information conveniently if they need references.
(2) As the case we selected was well-known, it is also easier for us to search as much additional data as possible.
(3)As one of our teammates had previously done relevant studies on this case in his bachelor’s thesis, so he has a sound understanding of the whole acquisition process that can facilitate our work. Based on these three reasons, we chose the case mentioned above. And we decided to represent Lenovo to negotiate with IBM
After settling the case selection, we moved on to outline the framework of our report and further look into the data we found in order to identify the issues that will be negotiated in this case. After identifying these key issues, with the data we had found, we discuss the possible situations or conditions that would come out in the course of negotiating each issue and work out the strategies we would like to use to negotiate. We firstly analyzed the advantages and disadvantages of both parties. After, we created possible scenarios of what the other party would ask from us and how they would respond to our requirements based on the information we had. Further, the assessment of areas and issues where we will most probably have to make a compromise and where we could stick to our initial request or even ask for more was conducted. Hereby we also refer to comments made by some authoritative experts about the final result of this acquisition, to see which aspects we could further improve to make the acquisition more successful.
In the preparation phase, one of the key issues we analyzed were the major cultural differences between parties, which we believe have a strong impact not only on the final success of the negotiation, but also on the process itself. Here we argue that not being aware of the cultural specifics and customs of the other party, prejudices and ethnocentrism may create major obstacles for successful communication. There are several cultural aspects that have to be taken into account:
1) Individualism versus collectivism
? individualism Cindependent behavior, self confidence, not afraid to have an opinion, win-lose strategy (IBM as an American company will probably want to adapt this approach as it stems from the American culture and negotiations characteristics that will be further explained)
? collectivism C the appearance of individuals is humble, win-win strategy (Lenovo)
2) Verbal and non verbal communication
? high C context culture - implicit, unpleasant information said indirectly (America)
? low C context culture C explicit (Asian countries)
? non - verbal communication C gesticulation, interpersonal distance, mimics, body language
? mostly the problem of punctuality
4) Personal relationship
? in some cultures, form and structure of the speech is more important than the content itself (particularly Asian countries)
5) Norms and values
? differences in perception of moral standards and good manners
6) Religion and positions
? politics and religion are not suitable topics of conversation
7) Logical thinking versus intuition
? very important is trust (not only trustworthiness of the individuals but the firm as whole)
8) Working customs
? hierarchical organizational form, or emphasis on participation and team work
The negotiator is the key figure of the whole negotiation process and has to be selected very carefully. Here we list several skills and characteristics of the negotiator we perceive necessary:
? Patience C This includes mainly active listening and letting
in Asian countries, the negotiation is based on personal trust, very important is the introduction phase, sometimes and holding techniques
? Persistence C Particularly important because of the power differences between the negotiating parties. Representing Lenovo, we will not make concessions right away, won’t take the first offer and try not to get distracted by disapproval or disagreement
? Determination and persuasiveness
? Empathy C Consideration of the views, needs and interest asking question “How would I act, being in the other party’s shoes?” is a core part of our negotiation preparation
? Ability to sense and use the power C It is necessary to avoid the misuse of power, especially when in situation of a long-term partnership or relationship. This issue is considered mainly because of the repetitive character of the negotiation with IBM
? Analytical thinking C At the beginning of our preparation, we have put high emphasis on analyzing our and partner’s position, assessing strength and weaknesses/advantages and disadvantages (both IBM and Lenovo), stating which points are important for us and what issues are important for IBM; we have also dealt with question “Should we start with the most tough issues right away or go with the easier first?”
? Self control, courtesy and tact
? Ambitious C The higher our goal is set, the more su however, if we call too high, we might appear un- if too low, we will not achieve our limit/reservation point
? Communicational skills C Because the negotiation is multi-cultural, it is important to recognize what the other party expects and try to fulfill it
? Cultural sensibility C Being open, tolerate other culture’s aspects and sometimes even adapt might secure pleasant negotiation with positive outcomes and create more value
Other issues we have deeply dealt with were the characteristics of the negotiation process and how they should be manage throughout the whole process. First, every negotiation is characterized by contradictory interests of the parties. Because this occurs regularly, we need to try to find a way how to overcome them. This could be done by identifying and stressing common interests (for example long term cooperation and relationship) that could even be repeated in situation of crisis, supported by the identification and setting of a common goal - reaching of the agreement in our negotiation case. We have to try to prevent the situation when one of the parties feels not satisfied or ?defeated“ as it may strongly affect the future relationship. Another important characteristic of every negotiation is a need for reciprocal concessions. Otherwise asymmetry of the positions will be created and will result in win-lose negotiation outcome. Necessary is therefore honest information sharing. However, it needs to be careful, step by step and reciprocical. In the end, one of the core parts is also the necessity of risk taking. This can be avoided by well and deep preparation, information verification and comparison.

It was a small town with fantastic landscapes that attracted a wealth of the rich to live in it. But they were not living for long. The rich people would come to the town for one or two months during their vacations and relaxed themselves.
Ming was also attracted by the scenic spots to the town. But he had little money and did not have a permanent income, so he rented a cheap house after he arrived. But what drew his attention most here was those wealthy people. His job was to sell cell phones. But they were not “real” phones. They were indeed counterfeits that could model the real ones which had comprehensive and great functions with the cost of no more than 20 yuan. If he met his less lucky day, he could earn at least several hundred yuan, while several thousand yuan if he met his lucky day. As those buyers were very well-off, they would not care about the money even though they discovered the phones to be fake later.
One day, Ming’s pocket was empty again and wanted to earn money with his tricks. Luckily, there was still a fake phone in his pocket to sell, which made him terrifically pleased. He took the phone with him in the street where a crow of people were coming and going that made his eyes spin. But soon enough, he spotted a target, a seemingly wealthy middle-aged man in an old jacket. Ming came up to him and smiled politely, saying, “Hey, friend…….” But the man was very alert and asked, “What’s up?”
Ming was quite acquainted with the man’s reaction―the richer a man was, the more alert he would be, and the easier it was to cheat him. So Ming said to him immediately, “Friend, I have a phone with me. I bought it at 5,000 yuan. But now I could sell it to you at only 3,000.” The man seemed uninterested in his phone and wanted to go away. Ming stopped him and said, “What about 2,000?” The man was greatly irritated and shouted at him, “What do you want to do with me?”
Ming was stunned to speechlessness, because he had not seen anyone like the man since he began his business. Ming immediately put up a poor face and hugged the man’s legs, crying to him, “Oh, my dear friend! I am selling phones to make a living. Ok, now I will only sell my phone at 1,000. Only 1,000, is it ok?” Ming began pouring out his “miserable story” as he was crying. The man, after seeing this, felt a little bit affected and put his hands into his pocket. Knowing that the man seemed to be stricken to buy the phone, Ming cried even harder. Then to Ming’s expectation, the man took out 1,000 yuan to Ming and took the phone away.
After earning 1,000 yuan, Ming felt more than happy and as he felt hungry, he went to a small shop to buy some bread. It was noon at that time when Ming took the bread and planned the pay the bill at the counter. Ming handed over a banknote of 100 yuan to the cashier. The cashier stared at the banknote for quite a while and then said to Ming, “Sorry, I could not find the changes for you for the moment. Please wait a minute.” Then he went away. Staying in the shop without anything to do, Ming was sitting on a stool and watching TV. After all, his cheap-rented house had no TV.
The TV was broadcasting a news that a gang of criminals using fake notes had come to the town and reminding the citizens to be mindful about it. The TV station also called for the public to call the police if they had any clues. Ming could not help despising those criminals. All of a sudden, he heard police siren and out of occupational sensitivity, he was about to run away immediately. But after a second, he thought that the police was not to catch him, so he stayed on in the house and pretended to hear nothing.
The police patrol car stopped before the small shop and two policemen came out of the car and arrested Ming. Ming could hardly resist. At this moment, the cashier showed up and said to the policemen, “Yes, it is he who uses fake notes!” Ming felt downright shocked, saying to himself, “The man who bought my phone was a real criminal…….”

Before beginning a hunt, it is wise to ask someone what you are looking for before you begin looking for it.
I used to believe in forever, but &forever& is too good to be true.

Journal Article Review
----On “Ahoy There! Toward Greater Congruence and Synergy between International Business and Business Ethics Theory and Research”.
Introduction:
With the trend of globalization, more and more multinational enterprises emerge, which has brought about many issues of international ethics that goes beyond traditional domestic corporate ethics. This journal article review will firstly give a brief summary of the article “Ahoy There! Toward Greater Congruence and Synergy between International Business and Business Ethics Theory and Research”, and then further analyze its positive and negative sides and brief the reasons why I choose to write a review on this article based on the issues discussed in it. Finally, the review will end with a conclusion.
Summary of the Article:
The past literatures of business ethics (BE) and international business (IB) have generally had little influences on each other. However, in the author’s point of view, with the trend of globalization deepening, a lot of newly-emerging factors such as the decline of nation states power, the emergence of non-governmental organizations, etc, have demonstrated that BE and IB, instead of being two totally different disciplines, are indeed correlated.
The author first of all points out a “cruel fact” that although a great many business ethics issues deal with international business and multinational enterprises, the two disciplines, BE and IB, seldom study the issues in each other’s field. Also a great number of published articles were related to IB, while only a tiny proportion of them dealt with ethics. After pointing out this phenomenon, the author claims that IB and BE are actually engaging each other: while IB research can help to inform how BE scholars approach some international business issues, BE research can also contribute to IB research.
To justify his point, the author firstly elaborates on the changing institutional context of global business and points out several key specific institutional trends: the decline in political power of the nation states, the transformation of the responsibilities, roles and the structure of MNCs, the rise of the no-governmental organization and the proliferation of self-regulatory organizations. Then the author moves on to elaborate on the implications of the changing institutional context for global business on BE and IB scholarship by discussing such relevant issues as MNC legitimacy and accountability, cross-culture values and norms, theory development related to nature of the multinational enterprise and dialectics of globalization. Finally, the author concludes the article by further emphasizing there are a number of aspects in which IB and BE can mutually inform each other and suggesting a field of inquiry where IB and BE scholars could jointly benefit from cooperatively venturing into new fields of empirical analysis and conceptual advancement.
Critiques on the Article:
Positive Sides:
(1) The author constructively and successfully points out that there is a close relationship between IB and BE. In the past, scholars in each field merely focused on their own field, either IB or BE, without combining them together to see a certain issue, which may result in limited vision and insight.
(2) The author can view the problem from a time-changing perspective. He explains how BE and IB are engaging each other by reviewing the changing institutional context of global business and its implications. Moreover, he manages to identify common concerns for BE and IB from the changing institutional landscape and suggest ways in which IB and BE could better inform each other.
(3) In the course of his discussion and analysis of some theory and points, the author knows to use some typical examples that can not only throw light upon his points, but can also tell the readers some facts and realities that deserve our contemplation, such as the issues of “sweatshop” labor and internet censorship.
(4) From this article, readers can not only learn the tight relationship between IB and BE, but also learn the relationship among IB, BE and other disciplines such as sociology, philosophy, etc, though the latter relationship in the article is not as clear as the former. From an international business manager’s perspective, by reading this article, he can further strengthen his notion that to be a successful IB manager, one must have a broad knowledge related extensively to various fields and disciplines. Also, he will have a better understanding of ethics issues in the context of global business and know how to deal with them effectively to a certain extent.
Negative Sides:
(1) Though pointing out there is a close relationship between IB and BE, the author did not further elaborate explicitly on how the two disciplines can better engage each other. The whole article mainly focuses on explain the existence of this relationship instead of instructing the readers how to “build up” this relationship.
(2) Quite a large proportion of the statements in the article are coming from the past literatures, though they are in good order in terms of explaining certain issues. The author’s own elucidation is rare, which to some extent indicates a lack of uniqueness and self-proposed insight.
(3) When proposing some issues or concepts, the author merely explains its meaning without providing some practical methodologies to tackle the issues or achieve the goal. For example, when mentioning “cross-convergence”, there is only the definition and explanation of it. the author did not tell readers how to realize this convergence.
(4) Though there is abundant content in the article that can facilitate the readers’ understanding and broaden their horizon, the article may involve too many things and aspects that may distract and confuse the readers from the main topic it intends to convey. Maybe if the author stays focused on some key aspects, the reader can better understand what he would like to demonstrate.
Reasons of Choosing This Article:
After I finished reading this article, I just had an impulse to talk with the author. Why? I have been holding a belief that IB should not be singled out from some other subjects like finance and accounting. What I say here does not mean that we should combine all these subjects as one. What I truly emphasize is that we should know the close relationship among subjects and know to enhance our professional capability by learning more about other subjects. My viewpoint is exactly similar to that of the author, though he attaches greater emphasis to the relationship between IB and BE. From my viewpoint, on top of mastering abundant international business management knowledge, a successful IB manager should have a broad scope of knowledge related extensively to finance, accounting, sociology, etc, which can help him make better informed decision. The author demonstrates the same philosophy on the relationship of different disciplines with mine. That is one of the reasons why I would choose to write the review on this article.
Another reason is that the author mentions some ethical issues worldwide, which leads me to think about the situation in China, my motherland. I will spontaneously compare what the author says in the article with what it is like in China. I will think about the reasons behind some phenomena, which is helpful for me to get a better understanding of the issues in the context of different countries, especially in my home country.
Conclusion:
In conclusion, this journal article gives us a better insight into the relationship between IB and BE, which can motivate scholars in these two disciplines to further study some issues by retorting each other’s knowledge and theories.
