篇一：英文版合作意向书LOIEnglishHenanCBMDevelopmentandUtilizationCo.,LtdAndDartEnergyPTELTDAndHongKongProsperousCleanEnergyCompanyLtdLetterofIntentonCooperativeDevelopmentofUnconventionalGasDated:May20,2013CooperatingParties:PartyA:HenanCBMDevelopmentandUtilizationCo.,LtdPartyB:DartEnergyPTELTDPartyC:HongKongProsperousCleanEnergyCompanyLtdA.PreconditiontotheCooperation1.PartyAisabusinessentityincorporatedundertheapprovalofHenanProvincialGovernment.Itisresponsibleexclusivelyforcoalbedmethane(CBM)exploration,extractionandproduction,developmentandutilizationinHenanProvinceandisthefirstprovincialCBMdevelopmentandutilizationcompanyinChina.PartyAhasobtainedthequalificationtoexclusivelycooperatewithforeignenterprises.2.PartyBisacompanyincorporatedandoperatingunderthelawsofSingapore.ThecompanyhasthetechnicalandcapitalcapabilitiesoftassessingCBMresources,designingappraisalandpilotdrillingprogramsandsubjecttotechnicalsuccessofthoseprograms,movingtodevelopingandproducingcommerciallyviableCBM.Ithasdevelopedinnovative,lowcosthorizontalandverticaldrillingtechnologythatisinstrumentalinestablishingthesustainablegrowthofcommercialCBMproductionandpre-drainageofseveralcoalminingareas.3.PartyCfocusesoncleanenergyandisengagedindevelopmentandutilizationofautomotivenewenergy,includingLPG,CNGandCBM.NowthecompanyhaseightCNGgasstations,twoLPGgasstationsandoneL-CNGgasstationinoperation.4.ItistheintentionofthepartiesthatPartyAandPartyBwillcooperateandcarryoutexplorationworkinthe6CBMblocksundertheprincipleof“easierblock/cherry-pickdevelopmentfirst”subjecttotheconditionthatthechoiceisbeneficialtoallparties.5.AspartoftheprocessofenteringintothePSCs,thepartieswishtocommenceatechnicalevaluationwithaviewtodeterminingthefeasibilityandscaleofCBMexplorationanddevelopmentwithinthecorrespondingareas.Tothisend,allpartiesagreetoincludeaconfidentialityclauseinthisLOIwiththeaimoffacilitatingtheprovidingandsharingofappropriatedata.6.PartyBandPartyCagreetocoverthecoststocarryoutthetechnicalduediligenceandeval
